Terms of Service

These terms govern your access to and use of the Referrers private referral network ("the Service"), operated from 30 N Gould St Ste N, Sheridan, WY 82801, USA. By signing in you agree to them. If you don't, don't use the Service.

1. Membership

Membership is invite-only and granted through the Referrers Network community on Mighty Networks. If your community membership is revoked, your access to the Service is revoked too. You agree to provide accurate profile and payout information and to keep it up to date.

2. How referrals work

• Submission: When you submit an opportunity, you confirm you have the right to share the prospect's basic details with a vetted operator inside the network for the purpose of fulfilling the work.
• Matching: Referrers selects a provider it considers a good fit. The provider may accept or decline. You can be re-matched.
• Confidentiality: Opportunity details (company, scope, contact, messages) are confidential to the participants of that opportunity. Don't share them outside.

3. Commissions

• The referral commission for each opportunity is agreed inside the workspace and visible to both parties from day one.
• The service provider pays the agreed commission to Referrers only after the end client has paid the provider for the work.
• Once Referrers has collected the commission from the provider, the referring member's agreed share is distributed to them. Distribution follows the payment event, not a fixed calendar.
• You're responsible for your own taxes on commissions received. We may require a tax form (W-9, W-8BEN, or local equivalent) before distributing a share.

4. Acceptable use

• Don't poach providers off-platform after being matched through Referrers — the commission is owed regardless of where the contract is eventually signed.
• Don't submit fake, duplicate, or speculative opportunities.
• Don't use the Service to harass, defraud, or breach anyone's confidentiality.

5. Disputes

If there's disagreement about deal value, scope, or commission, raise it inside the opportunity workspace within 30 days of close. Referrers will mediate in good faith but is not a guarantor of any payment.

6. Suspension and termination

We may suspend or terminate access for breach of these terms, fraud, or harm to other members. Outstanding commissions earned in good faith will still be paid.

7. Liability

The Service is provided "as is". To the extent permitted by law, Referrers is not liable for indirect, incidental, or consequential losses, lost profits, lost data, or third-party actions. Our total liability for any claim is capped at the commissions paid to or by you in the prior 12 months.

8. Indemnification

You agree to indemnify and hold Referrers, its operators, and its affiliates harmless from any third-party claim, loss, or liability arising from (a) opportunities you submit, (b) your conduct toward other members or end clients, or (c) your breach of these terms or applicable law.

9. Governing law and dispute resolution

These terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to the Service that is not resolved informally within 30 days shall be settled by binding arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in Sheridan, Wyoming, with each party bearing its own costs unless the arbitrator awards otherwise. Either party may seek injunctive relief in a court of competent jurisdiction for misuse of confidential information or intellectual property.

10. Changes

We may update these terms. Material changes will be emailed; continued use after the effective date constitutes acceptance.
